Distance Sales Agreement

1. PARTIES

This Agreement is executed between the parties below, in accordance with the terms and conditions specified hereunder.

By accepting this contract, the BUYER acknowledges in advance that they are obliged to pay the price of the order, any shipping fees, taxes, and any other additional charges that may apply once the order is confirmed.

2. DEFINITIONS

The terms used in this Agreement shall be understood in accordance with the following definitions:

• MINISTER: The Minister of Customs and Trade,
• MINISTRY: The Ministry of Customs and Trade,
• LAW: The Law No. 6502 on Consumer Protection,
• REGULATION: The Regulation on Distance Contracts (Official Gazette: 27.11.2014/29188),
• SERVICE: Any transaction other than the provision of goods for a fee or interest, which is subject to consumer operations,
• SELLER: The company that offers goods to the consumer within the scope of its commercial or professional activities,
• BUYER: A natural or legal person who acquires, uses, or benefits from goods or services for non-commercial or non-professional purposes,
• SITE: The website owned by the SELLER,
• ORDERER: A natural or legal person who requests goods or services from the SELLER’s website,
• PARTIES: The SELLER and the BUYER,
• CONTRACT: This Agreement between the SELLER and the BUYER,
• GOODS: The movable items that are subject to the purchase, as well as software, audio, video, and similar intangible goods prepared for use in electronic environments.

3. SUBJECT

This Agreement regulates the rights and obligations of the parties in relation to the sale and delivery of the product, which the BUYER orders through the SELLER’s website, and is subject to the provisions of the Law No. 6502 on Consumer Protection and the Regulation on Distance Contracts.

The prices listed and announced on the site are the sale prices. The announced prices and promises are valid until an update or change is made. Prices announced for a specific period are valid until the specified period ends.

7. SUBJECT OF THE AGREEMENT - PRODUCT(S) INFORMATION

7.1. The basic features (type, quantity, brand/model, color, and quantity) of the goods/products/services are published on the SELLER's website. If the SELLER has organized a campaign, the relevant product’s features can be examined during the campaign period, which is valid until the specified end date.

7.2. The listed and advertised prices on the site are the sale prices. These prices and offers are valid until they are updated or changed. Prices that are advertised for a limited time are valid only until the specified period.

7.3. The total sales price of the subject of the agreement, including all taxes, is shown below.

7.4. The product’s shipping costs, which are considered as delivery charges, will be paid by the BUYER.

Invoice Delivery: The invoice will be delivered along with the order to the invoice address during the delivery.

9. GENERAL TERMS

9.1. The BUYER acknowledges, declares, and undertakes that they have read the preliminary information regarding the product's basic characteristics, sale price, payment method, and delivery on the SELLER's website and have confirmed it electronically. The BUYER accepts that they have accurately and completely received the address, the basic features of the ordered products, their tax-inclusive prices, and payment and delivery details before confirming the electronic preliminary information.

9.2. Each product of the agreement will be delivered to the BUYER or the person/organization they designate within the period specified on the website, which will not exceed the legal 30-day period based on the BUYER’s place of residence. If the product cannot be delivered within this period, the BUYER reserves the right to cancel the contract.

9.3. The SELLER agrees to deliver the product in full, in accordance with the specifications mentioned in the order, and with any necessary warranty certificates, user manuals, and other related documents, in accordance with legal requirements and industry standards.

9.4. If the SELLER is unable to fulfill the product delivery due to circumstances beyond their control, they must inform the BUYER in writing within 3 days of learning of the situation and refund the total amount within 14 days.

9.5. The BUYER agrees that if the payment is not made, or if the payment is canceled by the bank, the SELLER is no longer obligated to deliver the product.

9.6. The BUYER agrees to return the product within 3 days at the SELLER’s expense if the payment is canceled by the bank due to unauthorized credit card use.

9.7. The SELLER will inform the BUYER in the case of any force majeure events that prevent timely delivery and allow the BUYER to request either cancellation, product substitution, or a delivery delay.

10. RIGHT OF WITHDRAWAL

10.1. The BUYER has the right to withdraw from the agreement, without providing a reason and without any legal or criminal liability, within 14 days from the delivery date. The right of withdrawal applies to goods and services subject to this contract.

10.2. To exercise the right of withdrawal, the BUYER must inform the SELLER via registered mail, fax, or email within the 14-day period and return the product in unused condition, in its original packaging.

11. PRODUCTS FOR WHICH THE RIGHT OF WITHDRAWAL DOES NOT APPLY

The right of withdrawal does not apply to goods prepared per the BUYER’s request or those that cannot be returned due to hygiene or other reasons, such as cosmetics, personal care products, and perishable items.

12. DEFAULT AND LEGAL CONSEQUENCES

In the event of default by the BUYER, the SELLER may seek legal remedies, including demanding payment of overdue amounts and associated legal fees.

13. COMPETENT COURT

Disputes arising from this agreement will be resolved by the consumer court or arbitration board in the BUYER’s place of residence, within the limits specified by the Consumer Protection Law.

14. VALIDITY

The BUYER accepts the terms of this agreement when they make payment through the website.
